Terms of Service

These Terms govern use of this website and service engagements with Cahyadi Aditya. Project-specific scope, fees, timelines, responsibilities, and acceptance criteria are confirmed in a written proposal or agreement.

1. How These Terms Apply

By using this website, submitting an inquiry, or entering into a service engagement, you agree to the provisions that apply to that activity. A project begins only after the relevant proposal or agreement is accepted and any required initial payment is received.

If a signed proposal, statement of work, or other project agreement conflicts with these Terms, the signed project-specific document controls for that engagement.

2. Website Use

Website content is provided for general information about my work, services, and perspectives. It does not constitute legal, financial, regulatory, or other professional advice and is not a binding offer to perform services.

You may view and share links to public content for lawful purposes. You may not reproduce substantial content, scrape the website, interfere with its operation, attempt unauthorized access, bypass security controls, or use protected materials without permission.

Credentials or passwords provided for confidential case studies are personal to the authorized recipient and must not be shared, published, sold, or used to reproduce or distribute protected content.

3. Inquiries, Proposals, and Availability

An inquiry or introductory conversation does not create a client relationship or reserve delivery capacity. Service availability, scope, timing, and fees remain subject to review and written confirmation.

Each proposal identifies the selected service, deliverables, assumptions, exclusions, milestones, responsibilities, fees, payment schedule, revision allowance, and acceptance criteria.

4. Scope and Changes

Work is delivered according to the approved scope. Requests that introduce new deliverables, screens, features, roles, research, concepts, platforms, or material changes to an approved direction are treated as scope changes.

A scope change begins only after its effect on fees and schedule has been communicated and approved in writing. Approval may be recorded through email, the agreed project workspace, or a signed change document.

5. Client Responsibilities

The client is responsible for providing accurate information, timely access to stakeholders and systems, required source materials, consolidated feedback, and approvals through an authorized decision-maker.

The client confirms that it has the rights and permissions required for any content, data, trademarks, images, software, or other materials supplied for the engagement. Delays or inaccuracies in client-provided inputs may affect the schedule, scope, or outcome.

6. Fees, Payments, and Taxes

Fees and payment schedules vary by engagement and are stated in the applicable package, proposal, or agreement. Core packages may use an upfront or split-payment schedule, while custom projects and larger engagements may use milestone-based payments.

Invoices must be paid by the stated due date. Work, meetings, access, or handoff may be paused while an invoice is overdue, and the delivery schedule may move according to availability. Final editable files, production access, and agreed usage rights are released after full payment.

Fees exclude applicable taxes, bank charges, currency conversion costs, third-party purchases, and pass-through expenses unless the proposal states otherwise.

7. Revisions and Feedback

The included revision rounds are defined in the proposal. A revision refines work within the approved brief, flow, content, and direction. A new direction or requirement is a scope change rather than a revision.

Feedback should be consolidated by the client's designated decision-maker and returned within the review period. Additional revision rounds or fragmented feedback may require a revised estimate and timeline.

8. Timelines, Pauses, and Acceptance

Delivery dates assume timely access, materials, feedback, approvals, and payments. A delay outside my reasonable control may shift later milestones.

If the client is unresponsive for more than 14 days, the engagement may be paused and rescheduled according to current availability. Any restart fee or revised timing will be communicated before work resumes.

Milestones and final deliverables are reviewed against the acceptance criteria and review period stated in the proposal. Issues must be identified with sufficient detail for assessment and correction.

9. Cancellation and Termination

Either party may end an engagement by written notice. The client remains responsible for work completed, approved milestones, reserved delivery capacity where stated in the proposal, and committed third-party costs up to the effective termination date.

The treatment of advance payments and any remaining balance follows the applicable proposal and the work completed. If I end an engagement for reasons unrelated to a client breach, any unearned portion of prepaid fees will be returned after completed work and committed costs are accounted for.

10. Intellectual Property and Licenses

After full payment, the client receives the ownership or usage rights to final deliverables expressly identified in the proposal. Drafts, rejected concepts, working files not listed as deliverables, and unpaid work remain my property.

Pre-existing methods, templates, processes, know-how, reusable components, tools, and general skills remain my property. Third-party materials, fonts, stock assets, plugins, libraries, and open-source software remain subject to their respective licenses.

Where background materials are embedded in a final deliverable, the client receives the license reasonably necessary to use that deliverable for the agreed purpose, unless the proposal states otherwise.

11. Confidentiality and Portfolio Use

Non-public business, product, customer, technical, and commercial information shared for an engagement will be treated as confidential and used only to evaluate or deliver the agreed work. Confidentiality does not apply to information already public, independently developed, lawfully received from another source, or required to be disclosed by law.

A mutual NDA may be signed where appropriate. Non-confidential work may be displayed after public launch in a portfolio, case study, presentation, or professional channel unless a written agreement restricts that use.

A Project Story Page or other promotional deliverable is included only when stated in the proposal. Any public version will use client-approved information and remain subject to agreed confidentiality restrictions.

12. Third-Party Services and Implementation

Projects may depend on hosting providers, CMS platforms, APIs, plugins, app stores, payment systems, fonts, libraries, or other third-party services. Their availability, pricing, security, policies, and continued operation are outside my control.

Implementation support, maintenance, analytics, accessibility, security testing, legal compliance, or production monitoring is included only when expressly listed in the scope.

13. Professional Care and Outcomes

Services are performed with reasonable professional care and according to the approved scope. Product, design, research, and technology work informs decisions but cannot guarantee revenue, conversion, funding, user adoption, regulatory approval, or any other commercial result.

The client remains responsible for final business decisions, legal and regulatory review, the accuracy of published content, operational readiness, and the use of delivered work after handoff unless those responsibilities are expressly included.

14. Limitation of Liability

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential loss, including lost profit, revenue, opportunity, data, or reputation.

To the extent permitted by law, my total liability arising from an engagement will not exceed the fees paid for the specific engagement giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

15. Force Majeure

Neither party is responsible for delay or failure caused by circumstances beyond reasonable control, including serious illness, natural disasters, government action, civil disruption, infrastructure failure, or critical third-party outages.

The affected party will communicate the situation as soon as reasonably possible, and both parties will work in good faith to revise the schedule. Payment obligations for work already completed remain unaffected.

16. Governing Law and Disputes

These Terms and service engagements are governed by the laws of the Republic of Indonesia. The parties will first attempt to resolve a dispute through good-faith discussion. If no resolution is reached, the dispute will be subject to the jurisdiction of the competent courts of Indonesia unless a signed agreement specifies another lawful forum.

17. Updates and Contact

These Terms may be updated to reflect changes in the website, services, or applicable requirements. Updates apply prospectively from the date shown at the top of this page and do not override a signed agreement already in effect.
